IMPORTANT: THESE OFFICIAL RULES ARE A CONTRACT. PLEASE READ THEM CAREFULLY BEFORE TAKING ANY STEPS TO PARTICIPATE. BY PARTICIPATING, YOU REPRESENT THAT YOU SATISFY ALL OF THE ELIGIBILITY REQUIREMENTS AND AGREE TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE SPONSOR, WHICH ARE BINDING AND FINAL IN ALL MATTERS RELATING TO THIS SWEEPSTAKES. THESE OFFICIAL RULES, AMONG OTHER THINGS, CONTAIN INDEMNITIES TO THE SPONSOR FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1. SPONSOR: The Rippling “Spring Break Giveaway” Sweepstakes (“Sweepstakes”) is sponsored by People Center, Inc. d/b/a Rippling, 430 California Street, 11th Floor, San Francisco, CA 94104 (“Sponsor”).
2. GENERAL: These Official Rules (“Official Rules”) govern participation in the Sweepstakes. The Sweepstakes is subject to these Official Rules and all applicable U.S. federal, state and local laws. Entry into this Sweepstakes constitutes your acceptance of these Official Rules. Limit one (1) Entry per Entrant.
3. SWEEPSTAKES PERIOD: The Sweepstakes begins on April 25, 2025 at 12:00am PT and ends on May 31, 2025 at 11:59pm PT (“Sweepstakes Period”). 
4. ELIGIBILITY REQUIREMENTS: To be eligible, you must meet each of these “Eligibility Requirements”:
• Be a legal U.S. resident who resides and is physically located in the United States (including residents of District of Columbia);
• Be 18 years old or over (19 years old or older in Alabama and Nebraska; 21 years old or older in Mississippi) as of the date of entry;
• Be employed by a legally registered business which is not an existing or previous Rippling customer.
5. EXCLUSIONS: Employees of Sponsor and any other organizations affiliated with the sponsorship, fulfillment, administration, or prize support of the Sweepstakes and each of their respective parents, agents, affiliates, subsidiaries, and advertising and promotion agencies, and their immediate family members (regardless of where they reside) or household members, whether or not related, are not eligible to enter or win. “Immediate family members” shall mean spouses, parents, step-parents, children, step-children, siblings, step-siblings, and their respective spouses. “Household members” shall mean people who share the same residence at least three months a year.
6. HOW TO ENTER: During the Sweepstakes Period, eligible entrants (“Entrants”) must follow the Sweepstakes instructions as provided by Sponsor and complete a form provided by Sponsor, select the type of prize they’re interested in, and schedule and attend a product demonstration meeting (“Demo”) with a Rippling sales representative. Attendance at a Demo will constitute one (1) entry into the Sweepstakes (“Entry”). By submitting an Entry, you attest that you satisfy each requirement in these Official Rules. There will be no other or alternative methods of entry.
7. DRAWING/WINNER SELECTION: At the end of the Sweepstakes Period (on or around May 31, 2025), Sponsor will conduct a random drawing from among all eligible Entries received to select potential winners. Odds of winning depend upon the number of eligible Entries received throughout the Sweepstakes Period. Failure to comply with Sponsor’s instructions or these Official Rules may, in Sponsor’s sole discretion, result in disqualification from the Sweepstakes and forfeiture of any prize potentially won.
8. WINNER NOTIFICATION AND CLAIMING PRIZE: After the Sweepstakes Period (on or around May 31, 2025), Sponsor will send an email to the potential winner at the email address provided at submission (“Winner Notification”). Once the email has been sent by the Sponsor, a potential winner has seven (7) calendar days to reply and claim the prize. The seven (7) calendar day deadline begins the moment Sponsor sends the Winner Notification, whether or not such Winner Notification is actually received. If a response is not received within the specified time period, prize or prize notification is returned as undeliverable, Sponsor is unable to contact a potential winner, or a potential winner is not in compliance with these Official Rules, the prize will be forfeited and, at Sponsor’s discretion, an alternate winner may be selected. 
9. PRIZES AND APPROXIMATE RETAIL VALUE: One (1) winner will receive: two (2) non-refundable, non-transferable/assignable, and non-modifiable airfare tickets valued at no more than $5,000 USD each, including taxes and all other applicable service fees, and one (1) $2,000 USD Marriott gift card, fulfilled by Travel Trust. Ten (10) winners will receive: one (1) $2,000 Visa gift card each. This Sweepstakes is not sponsored, endorsed, or affiliated with Marriott, Travel Trust, or Visa. Limit one prize per Entry. Winners are strictly prohibited from selling, auctioning, trading, or otherwise transferring any part of the prize(s). Prize(s) are subject to availability and Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. Sweepstakes is subject to all applicable U.S. federal, state, and local laws and regulations. Prizes are limited to that specified above. Except as specifically provided herein, all other unspecified expenses (including applicable taxes and usage charges on the prize(s)) are the sole responsibility of the winner. If required under applicable law, winners will be issued an IRS 1099 tax form in the amount of the prize retail value as stated herein. If required by applicable law, Sponsor or its agents shall require payment from the winners of taxes to be remitted to the appropriate taxing authorities, as well as any information from the winner required to issue the tax form. Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or use of prizes awarded as part of this Sweepstakes. Sponsor makes no representation or warranties concerning the appearance, safety, or performance of any prize awarded as part of this Sweepstakes. 
10. GUESTS AND TRAVEL: Where applicable, any guest of a prize winner must execute a Release of Liability and a Publicity Release (where not prohibited by applicable law) prior to participation in the prize or the issuance of travel documents related to the prize. If the prize winner’s guest is deemed a minor in his/her U.S. state of residence, the prize winner must be the minor guest's parent or legal guardian. Where a prize includes travel, all travelers must possess any required travel documents (e.g., valid photo I.D., etc.) prior to departure and travel on the same itinerary. Travel must be completed on the dates specified by Sponsor, which are subject to change, or the prize will be forfeited. Non-compliance with these requirements may result in disqualification of the prize winner, forfeiture of any prize, and, at Sponsor’s discretion, the selection of an alternate winner, time permitting.
11. RIGHT OF PUBLICITY RELEASE: Except where prohibited by applicable law, participation in the Sweepstakes constitutes each Entrant’s consent to Sponsor’s and its agents’ use of Entrant’s name, likeness, photograph, voice, opinions, hometown, and/or statements made by or attributed to them, in perpetuity and throughout the world, in any and all media now known or hereafter developed (including, without limitation, print, broadcast, and Internet), for all legitimate business purposes including advertising and promotional activities without review, approval, credit or attribution, notification, or additional compensation, further payment, and/or consideration.
12. MISCELLANEOUS CONDITIONS: By participating, Entrants agree to abide by and be bound by these Official Rules, which shall be final and binding with respect to all issues relating to this Sweepstakes. It is the Entrant’s responsibility to ensure compliance with all of the conditions contained in these Official Rules. Sponsor is not responsible for any lost, late, misdirected, stolen, illegible, or incomplete Entries, or for any computer, online, or technical malfunctions that may occur. Sponsor is not responsible for any incorrect or inaccurate information, whether caused by Sponsor, any of the equipment or programming associated with or utilized in the Sweepstakes, or any technical or human error, which may occur in the processing of submissions in the Sweepstakes. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. Sponsor is not responsible for any problems, failures or technical malfunction of computer online systems, servers, providers, computer equipment, software, email, players or browsers, on account of technical problems or traffic congestion on the internet, at any website, or on account of any combination of the foregoing. Sponsor is not responsible for any injury or damage to participants or to any computer, related to or resulting from participating in this Sweepstakes. Persons found tampering with or abusing any aspect of this Sweepstakes, or whom Sponsor believes to be causing malfunction, error, disruption, or damage will be disqualified. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE LINK OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right to correct any typographical, printing, computer programming, or operator errors.
    If for any reason, Sponsor is not capable of running the Sweepstakes as planned, including due to an infection by computer virus, bug, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsor reserves the right to select winners in a random drawing from among all eligible, non-suspect Entries received prior to the time of the event warranting such cancellation, modification, or suspension. Notice of such cancellation, modification, or suspension will be posted on the Sponsor’s website at Sponsor’s discretion. Sponsor may prohibit any Entrant or potential entrant from participating in the Sweepstakes, if such Entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other Entrant, Sponsor, or Sponsor’s agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). Sponsor reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.
13. RELEASE: By participating in this Sweepstakes, Entrants agree to release Sponsor and any other organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement, or promotion of the Sweepstakes and each of their respective parents, agents, affiliates, subsidiaries, advertising, and promotion agencies, and prize suppliers, and each of their respective officers, directors, agents, representatives, and employees, as well as each of their respective successors, representatives, and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss, or damage arising in any manner, in whole or in part, directly or indirectly, from participation in this Sweepstakes, and/or acceptance, redemption, use or misuse of any prize.
14. PRIVACY NOTICE: Any personal information collected in connection with this Sweepstakes will be handled by the Sponsor in accordance with its User Privacy Notice available at https://app.rippling.com/legal/privacy.
15. ARBITRATION AND CHOICE OF LAW: Except where prohibited by applicable law, as a condition of participating in this Sweepstakes, Entrant agrees that: (i) any and all disputes and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association (“AAA”) and held at the AAA regional office nearest the Entrant’s residence; (ii) the Federal Arbitration Act shall govern the interpretation, enforcement, and all proceedings at such arbitration; and (iii) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than Entrant’s actual out-of-pocket expenses (i.e., costs associated with entering this Sweepstakes), and Entrant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of Entrants and Sponsor in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of California, U.S. without regard to California’s choice of law rules.

17. HEADINGS: Headings and captions are used in these Official Rules solely for convenience of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof.
