Not only do they impose a duty of confidentiality on the employee, but they also preserve the company’s IP interests by legally assigning to them the rights to any work that employee does in their role.

But while a company is justified in seeking the rights to the work they pay their employees to do, it doesn’t mean that they’re entitled to any work the employee does or that they have done up to that point. And the CIIA agreement is where they would list those prior inventions or work that they wish to retain their rights to—which is something a company’s compliance and/or legal team would be interested in reviewing.
